Terms and Conditions

Participation by any Stampin’ Up! Independent Demonstrator (“Demonstrators”) or Customer (collectively “Participants”, “You” or “Your”) in the Stampin’ Up! Inc. (“Stampin’ Up!”) Stampin’ Rewards Program (“Rewards Program”) is governed by these terms and conditions (“Terms and Conditions”). These Terms and Conditions supersede and replace any previous Stampin’ Rewards! terms and conditions.

From time to time, Stampin’ Up! may modify the Rewards Program, including these Terms and Conditions, by providing You with reasonable notice, or as otherwise required by law. After receiving notice, You will have 30 days to reject any such modifications. Rejection of any modification will result in the immediate termination of your participation in the Rewards Program. Stampin’ Up! may suspend or terminate the Rewards Program and/or Your participation in the Rewards Program at any time and for lawful purpose by providing You with 30 days advance notice, or as otherwise required by law. If the Rewards Program is terminated by Stampin’ Up!, You will be provided 90 days to redeem the Rewards in Your account. Customers who opt-out of the Rewards Program will, at the time of opting-out, permanently forfeit all accrued Rewards in their account.

DEFINED TERMS

The underlined terms in this section are defined as follows:

Available Rewards: Rewards in Participant’s account that are available for redemption.

Expired Rewards: Rewards that have become void and are no longer unavailable to Participant because they were not used during the prescribed validity period.

Net Product Price: The amount to be paid for product purchases after all promotions and discounts are applied to the original retail price.

Gifted Rewards: Rewards transferred from one demonstrator to another demonstrator or customer. Product Credit Rewards: Rewards made available through the demonstrator compensation plan, a demonstrator’s demonstratorship, or as otherwise may be made available to a Participant. Some Product Credit Rewards may be taxable as income.

Purchase Rewards: Rewards awarded to a Participant for purchase of a product, or as may otherwise be described herein.

Reward means a unit awarded under the Rewards Program that has no cash value but may be applied to reduce the purchase price of product through Redemption. A Reward may refer to a Gifted Reward, Product Credit Reward, or Purchase Reward individually or collectively as the case may be.

OVERVIEW OF REWARDS PROGRAM

To enroll in the Rewards Program, Customers create a Stampin’ Up! online account at www.stampinup.com (“Website”) and agree to these Terms and Conditions.

Demonstrator’s enrollment in the Rewards Program is part of their demonstratorship and their Rewards account will be automatically linked to their Stampin’ Up! Independent Demonstrator Account.

Demonstrator product credits, if any, will automatically be converted to Rewards and demonstrator will have the ability to earn additional Rewards as described in these Terms and Conditions.

Rewards Program Participants earn Purchase Rewards in the amount of 10% of the Net Purchase Price for qualifying purchases in accordance with these Terms and Conditions.

Available Rewards are recorded and managed in the Stampin’ Up! online account Rewards Program dashboard.

Rewards Programme Participants may redeem Available Rewards when purchasing a qualifying product from Stampin’ Up!.

HOW TO PARTICIPATE

Customers may participate in the Rewards Program by creating a Rewards Program account, affirmatively agreeing to these Terms and Conditions, providing their name, address, ship-to address, email and phone number (Information about how Stampin’ Up! uses Your personal information may be found on the Stampin’ Up! Privacy Policy). Stampin’ Up!, in its sole discretion, may deny participation in the Rewards Program to any applicant for any lawful purpose. Independent Demonstrators’ Stampin’ Up! Accounts will automatically be linked to the Rewards Program.

Participants’ account is associated with the email address provided by the Participant. Rewards Program accounts cannot be combined. A Participant may not have more than one Rewards Program account.

Any Customer may opt out of participating in the Rewards Program by visiting “my account” on the Website and clicking the “opt-out” link at the bottom of the Rewards page. Participation in the Rewards Program is not necessary to purchase products on the Website. A customer’s participation in the Rewards Program is a prerequisite to receiving any Rewards. Customers who “opt-out” of the Rewards Program will forfeit all Rewards they have acquired. Upon termination of a Customer account, their participation in the Rewards Program is terminated and any forfeited Rewards will not be reinstated.

Closing an inactive Stampin’ Up! Rewards account is the customer’s responsibility. Where required by law, an account holder may submit a request for Stampin’ Up! to have inactive accounts closed. For more information, please see Stampin’ Up!’s Privacy Policy.

RECEIVING REWARDS

Participants can acquire Purchase Awards by purchasing product through the Website.

Participants will not be awarded Purchase Rewards for purchases of non-commissionable items (non- commissionable items are available to Demonstrators only). Rewards may be redeemed by demonstrators toward non-commissionable items. Participants do not earn Rewards in connection with the redemption of Rewards for product, services, or otherwise.

Participants are awarded Purchase Rewards at the rate of 10% of the Net Product Price in connection with the purchase of product. For purposes of calculating the Net Product Price, taxes, shipping, and handling are not included.

The price threshold for being awarded Rewards in each separate product purchase transaction is $20.00; for example, Product Purchase Rewards will not be awarded where the cumulative Net Product Price for all products purchased in a single transaction is less than an amount equal to $20.00. Once the $20.00 price threshold has been met, the Participant will be eligible to receive Rewards for their entire purchase.

Rewards may only be accumulated by the Customer in compliance with these Terms and Conditions and as available to the Demonstrator under the Demonstrator Compensation Plan, or as otherwise may be available under the Demonstrator’s demonstratorship.

GIFTING REWARDS

Demonstrators may gift Rewards from their Rewards account to customers or other demonstrators. Customers are ineligible to gift Rewards to other Participants. Demonstrator’s may not gift Rewards as compensation, incentive, or inducement to a customer or other demonstrator to make any purchase, or to take any action, that would provide Demonstrator an unfair or illegal advantage over other Demonstrators.

TRACKING AND MANAGING REWARDS

After You earn, or are Gifted Rewards, the Rewards will be recorded as Available Rewards in Your Rewards dashboard. Your current balance of Available Rewards is visible in several places within the online store. Rewards have no cash value but may be Redeemed for product as described in the section on Redeeming Rewards.

If a Participant receives Rewards through a purchase that is later canceled or returned, the Rewards received by the purchase of the cancelled or returned product will be deducted from the Participant’s Available Rewards and will no longer be included in the Rewards dashboard. To the extent that a partial cancelation or return of a qualifying purchase is processed, only the Rewards associated with the canceled or returned portion of the qualifying purchase will be deducted.

REDEEMING REWARDS

Available Rewards may be used to Redeem product offered for sale by Stampin’ Up! on its Website. Rewards have no cash value and may not be exchanged for currency.

Participants are limited to applying the Available Rewards shown in their Rewards dashboard to Redeem product. Products exchanged for Rewards may not be redeemed for currency.

Product Purchase Rewards expire at the end of the final day of the twelfth month after they are awarded. Product Credit Rewards expire at the end of the sixth month after they are received, or as their expiration otherwise occurs in a demonstrator’s demonstratorship. Gifted Rewards expire at the end of the third month after they are received. Upon the expiration of a Reward, it is void and may no longer be used to Redeem product. The Rewards dashboard includes a display indicating Rewards set to expire within the next 3 months.

A Participant’s Available Rewards that are first due to expire will be the first Rewards to be applied toward product redemption, regardless of when the Available Rewards were earned or gifted.

All benefits, amenities, offers, products and awards under the Reward Program are subject to availability and may be changed by Stampin’ Up! at any time and without notice except as required by applicable law.

TAX

This section applies to only Demonstrators and only to Demonstrator Rewards that were granted in exchange for Product Credit Rewards.

Demonstrator is responsible for payment of all taxes and fees levied or assessed by any governmental authority incidental to Demonstrator’s participation in the Rewards Program and performance of these Terms and Conditions, including income tax and sales tax. Under no circumstance will Stampin’ Up! be obligated to pay any taxes or fees on Demonstrator’s behalf.

Product Credit Rewards:

Redemption: Rewards applicable to this section result in taxable income to the Demonstrator at the time of Redemption. If a Demonstrator’s exchange of Rewards for product exceeds $600 worth of product in a calendar year, a 1099 will be issued at the end of the year.

Gifting: Rewards applicable to this section result in taxable income to the Demonstrator at the time the Demonstrator transfers (“gifts”) the Reward to another Demonstrator or a Customer. If a Demonstrator Gifts more than $600 worth of Rewards in a calendar year, a 1099 will be issued at the end of the year.

Redemption and gifting combined. Any combination of Redemption or gifting of Product Credit Rewards exceeding $600 in a calendar year will result in a 1099 issued at the end of the year.

The above thresholds for triggering the issuance of a 1099 are in addition to any commissions earned by the Demonstrator.

NOTIFICATIONS

Stampin’ Up! will communicate with Participants, regarding participation in the Rewards Program, by email and/or in the Rewards dashboard on the Website. Stampin’ Up! may send Participants email regarding updates to the Rewards Program, Available Rewards that have expired or are expiring, or other emails specific to Rewards Program participants. Notifications regarding purchases of product, Available Rewards that have expired or are expiring soon, or that have been applied to Redeem product, and other Rewards metrics will be shown on the Website in the Rewards dashboard.

TERM AND TERMINATION

Upon successful enrollment in the Program, your Rewards Program account will remain active until terminated by You, operation of law, or by Stampin’ Up!. Stampin’ Up! may terminate the Rewards Program at any time by providing you with at least 90-day advance notice, or in accordance with applicable law. However, if Stampin’ Up! does not terminate the Rewards Program, and you opt-out of the Rewards Program, you will forfeit all available Rewards in your account.

PARTICIPANT DATA AND PRIVACY POLICY

You are responsible to ensure the information in Your profile is accurate and remains current. Stampin’ Up! is not responsible for inaccurate information provided by You. You consent to the collection use and disclosure of Your personal information by Stampin’ Up! and the Rewards Program. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW AND SUBJECT TO ANY NON-EXCLUDABLE GUARANTEES, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF STAMPIN’ UP! AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS, SERVICE PROVIDERS, AGENTS, AND TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE GREATER OF $10,000.00 OR THE AMOUNT YOU HAVE PAID TO STAMPIN’UP! FOR ANY GOODS OR SERVICES IN THE LAST 12 MONTHS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NO RESPONSIBILITY OR LIABILITY IS ASSUMED BY STAMPIN’ UP! FOR TECHNICAL PROBLEMS OR TECHNICAL MALFUNCTIONS ARISING IN CONNECTION WITH THE OPERATION OF THE WEBSITE OR THE REWARDS PROGRAM. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Stampin’ Up!, its affiliates, licensors, and service providers, and its and their respective directors, officers, employees, agents, licensors, suppliers, contractors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising out of or relating to Your violation of these Terms and Conditions or Your use of the Reward Program, including, but not limited to, any use of the Website’s content, services, and products other than as expressly authorized in these Terms and Conditions, or Your use of any information obtained from the Website.

DISPUTE RESOLUTION

All matters relating or connected to these Terms and Conditions, unless otherwise stated herein or otherwise required by law, including non-contractual disputes or claims, will, be governed by and construed in accordance with the internal laws of the State of Utah without giving effect to any choice or conflict of law provision or rule.

Arbitration; Waiver of Class Action and Consolidation of Claims. Subject to any exceptions set forth herein, the parties hereby agree that any dispute, controversy, or claim arising out of or relating to these Terms and Conditions (including without limitation the suspension, termination, material breach, and/or validity hereof) (a Dispute) shall be submitted to mandatory final and binding arbitration (“Arbitration”) in accordance with the Rules of the American Arbitration Administration, with the site of arbitration in the county where the Participant resides. The parties agree to arbitrate solely on individual basis and each party waives the right to arbitrate any Dispute as a class action, either as a member or a representative. Class arbitration (including the presiding over any form of a representative or class proceeding) and the consolidation of claims made by more than one plaintiff are both expressly prohibited. The parties hereby agree to arbitrate any Dispute solely on an individual basis. The arbitrator(s) shall have no authority to consider or resolve any claim or issue any relief on any basis other than an individual basis and shall not do so on a class or collective action basis.

GENERAL PROVISIONS

No waiver by Stampin’ Up! of any term or condition set forth in these Terms and Conditions will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Stampin’ Up! to assert a right or provision under these Terms and Conditions will not constitute a waiver of such right or provision.

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.

You may not assign, novate, delegate, or otherwise transfer any of Your rights or obligations under these Terms and Conditions without the prior written consent of Stampin’ Up!, which consent Stampin’ Up! may grant or withhold in its sole and absolute discretion.

You agree that these Terms and Conditions constitute the sole and entire agreement between You and Stampin’ Up! arising out of or relating to the Rewards Program and the subject matter of these Terms and Conditions, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, arising out of or relating to the subject matter of these Terms and Conditions.
